Terms of Service.

Welcome to Reestly. These Terms of Service ("Terms") govern your access to and use of the Reestly platform and related services operated by Reestly Technologies Inc. ("Reestly", "we", "us"), a Philippine corporation. By creating an account, subscribing, or using the services, you agree to be bound by these Terms, Republic Act No. 8792 (Electronic Commerce Act), RA 7394 (Consumer Act of the Philippines), and applicable BSP regulations on electronic payments.

1. The service

Reestly provides a modular operations platform for F&B and hospitality businesses: point-of-sale, inventory, HRIS, payroll, reservations, and analytics, as described on our pricing page. Features vary by plan; the plan you subscribe to determines the features available to you.

2. Accounts and eligibility

You must be at least 18 years old and authorized to bind the business you represent. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Notify us immediately of any unauthorized use.

3. Free trial, subscription, and billing

  • 14-day free trial: new accounts receive a 14-day trial. No credit card is required to start, and no automatic conversion occurs without your express action.
  • Plans and pricing: subscription fees are quoted in Philippine pesos (₱) per the plan chosen. Monthly billing recurs each month; yearly billing is billed annually in advance at a 20% discount on the monthly rate.
  • Billing and receipts: fees are charged through our accredited payment partners and are inclusive of applicable taxes unless stated otherwise. Official receipts (OR) are issued in compliance with BIR requirements.
  • Price changes: we will give at least thirty (30) days' notice before any price change affecting your renewal.

4. Cancellation and refunds

You may cancel at any time from your account settings or by contacting support; cancellation takes effect at the end of the current billing period, and no further charges apply. Subject to the Consumer Act and applicable DTI-Fair Trade rules, prepaid fees for the current period are non-refundable except where required by law or where we fail to deliver the service materially.

5. Your data and content

You retain all rights to the business and employee data you input into Reestly. You grant us a limited license to process it solely to provide the service, in accordance with our Privacy Policy and, where applicable, a data-processing agreement for HRIS/payroll records. Upon request and account closure, we will make your data available for export and delete it per our retention schedule.

6. Acceptable use

You agree not to: misuse the platform or interfere with its security; upload unlawful, infringing, or malicious content; use the service to violate labor, tax, or data-privacy laws; scrape or resell the service without written agreement; or reverse-engineer the platform except as permitted by law.

7. Service availability and support

We target 98% uptime measured monthly, excluding scheduled maintenance announced in advance and force-majeure events. Support channels and response commitments depend on your plan tier.

8. Intellectual property

The Reestly platform, including software, interfaces, trademarks, and documentation, is owned by Reestly Technologies Inc. and protected by Philippine and international intellectual-property law. Nothing in these Terms transfers ownership to you.

9. Disclaimers and limitation of liability

The service is provided with reasonable skill and care but "as is" during trial periods. To the maximum extent permitted by law, our aggregate liability arising from the service is limited to the fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, lost profits, or data loss caused by factors outside our reasonable control. Nothing in these Terms limits liability that cannot be limited under Philippine law, including liability under the Consumer Act.

10. Termination

We may suspend or terminate accounts for material breach of these Terms (including non-payment) after notice and a reasonable cure period where the law requires. You may stop using the services at any time. Sections 5, 8, 9, and 11 survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines. Disputes will first be addressed through good-faith negotiation for thirty (30) days; unresolved disputes shall be brought before the competent courts of Taguig City, Metro Manila, without prejudice to mandatory consumer-protection fora under Philippine law.

12. Changes to these terms

We may amend these Terms; material changes will be notified at least thirty (30) days in advance via the platform or email. Continued use after the effective date constitutes acceptance of the amended Terms.
